Terms of Service - XOTHRM® Quotes & Invoices
These terms and conditions ("Terms") govern the provision of quotes/invoices by XOTHRM™ ("Company") to the recipient ("Customer") requesting a quote/invoice for products or services. By accepting the quote/invoice, the Customer agrees to be bound by these Terms.
- Quote/Invoice Accuracy and Validity
a. Quote/Invoice Accuracy: The Company strives to provide accurate and detailed quotes/invoices based on the information provided by the Customer. However, the final price and availability of products or services may be subject to change based on additional factors or specific requirements.
b. Quote/Invoice Validity: The quote/invoice provided by the Company is valid for a specified period mentioned in the quote/invoice itself, unless otherwise stated. After the expiration date, the quote/invoice may be subject to revision or withdrawal by the Company.
2. Acceptance and Payment
a. Acceptance: The Customer acknowledges that the quote/invoice provided by the Company is not binding and does not constitute a contract or obligation to purchase. The quote/invoice is an invitation to the Customer to place an order based on the terms and conditions stated in the quote.
b. Payment Terms: Unless otherwise specified in the quote/invoice, payment terms shall be stated as per the Company's standard payment policy. The Customer agrees to adhere to the specified payment terms for the completion of the order.
- Product or Service Availability
a. Availability: The availability of products or services mentioned in the quote/invoice is subject to stock availability or the Company's capacity to provide the requested services. The Company reserves the right to limit quantities or decline orders at its discretion.
b. Substitution: In the event that a specific product or service mentioned in the quote/invoice is unavailable, the Company may, with the Customer's consent, offer suitable alternatives of comparable quality and value.
4. Intellectual Property
a. Ownership: The quote/invoice, including any accompanying documents or materials, remains the intellectual property of the Company and is protected by applicable copyright and intellectual property laws.
b. Confidentiality: The Customer agrees to treat the quote/invoice and any related information as confidential and shall not disclose or share it with third parties without the prior written consent of the Company.
- Liability and Indemnification
a. Limitation of Liability: The Company shall not be liable for any direct, indirect, incidental, consequential, or special damages arising out of or in connection with the use or reliance on the quote/invoice, including but not limited to loss of profits, business interruption, or loss of data.
b. Indemnification: The Customer agrees to indemnify and hold the Company, its officers, directors, employees, and affiliates harmless from any claims, losses, damages, liabilities, or expenses arising out of or related to the Customer's use or reliance on the quote/invoice.
- Modifications
The Company may update or revise these Terms at its discretion without prior notice. The updated Terms will be applicable to all subsequent quotes/invoices provided by the Company.
